​National Coalition for Drug Quality & Security, LLC ("NCDQS") and Applicant agree that all information disclosed to or obtained by NCDQS, its employees, contractors, or surveyors in connection with the QAS Inspection program, shall be used for the purpose of completing a QAS Inspection. Such information shall be deemed confidential and shall not be disclosed, except to the extent that it is generally available to the public, that is legally required to be disclosed, that the Applicant makes a request or that a Federal or State agency under which the Applicant has or is seeking licensure or registration makes a request. If NCDQS is legally required to disclose such information, NCDQS agrees to provide Applicant with written notice of the pending disclosure, to the extent permitted without violating the law, so that Applicant may object to or defend against said disclosure. NCDQS may publish to the general public that a person has achieved QAS Accreditation.
NCDQS and Applicant agree that all information disclosed to or obtained by Applicant, its employees, contractors, or surveyors in connection with the QAS Accreditation program, shall not, without prior written approval of NCDQS, publish, copy, or otherwise disclose any information in any manner whatsoever.
NCDQS and Applicant will use reasonable care, but no less than the same degree of care that it uses to protect its own confidential and proprietary information of similar importance, to keep the information confidential.
NCDQS and Applicant agree that unauthorized disclosure of information may cause substantial, immediate and irreparable damages for which monetary damages alone may not be sufficient compensation, and, therefore, in the event of any such breach or threatened breach, in addition to other remedies which may be available, all of which shall be cumulative, the harmed party shall have the right to seek specific performance and other injunctive and equitable relief.
HIPAA Confidentiality of Protected Health Information (PHI): NCDQS agrees that surveyors will not record, remove, or disclose any patient PHI viewed or reviewed incidental to performing consulting services or during site visits.
